Welcome to BH IT Hub's Terms of Work. These terms govern the professional relationship between BH IT Hub and our clients for AI and data engineering services. By engaging our services, you agree to these terms, which are designed to ensure clarity, transparency, and successful project outcomes.

Scope of Services

BH IT Hub provides the following AI and data engineering services:

  • Agentic AI Development: Custom intelligent systems and autonomous agents

  • AI Consulting: Strategic guidance and implementation planning
  • Data Analytics: Business intelligence, predictive modeling, insights
  • Data Engineering: ETL pipelines, data architecture, cloud solutions
  • Cloud Solutions: AWS, Azure, GCP implementation and management
  • Support & Maintenance: Ongoing technical support and system updates

Project Engagement Process

Our standard engagement process includes:

  • Agreement Signing: Formal acceptance of terms and project kickoff

Payment Terms

Our payment structure is designed for flexibility and transparency:

  • Project-Based: Fixed price for well-defined projects
  • Time & Materials: Hourly/daily rates for evolving requirements
  • Retainer: Monthly retainers for ongoing support
  • Milestone Payments: Payments tied to project deliverables
  • Payment Schedule: 50% upfront, 50% on completion (standard)
  • Late Payments: 2% interest per month on overdue amounts
  • Currency: All payments in INR or USD as agreed

Intellectual Property Rights

Intellectual property ownership is clearly defined:

  • Client Ownership: Final deliverables and custom code belong to the client
  • Our IP: Reusable components, frameworks, and tools remain our property
  • Third-Party Licenses: Open-source and commercial licenses as specified
  • Source Code: Provided to client upon final payment
  • Documentation: Technical documentation included with deliverables

Confidentiality

We maintain strict confidentiality standards:

  • NDA Protection: All client information remains confidential
  • Data Security: Secure handling of sensitive business data
  • Non-Disclosure: No sharing of project details without consent
  • Employee Agreements: All staff bound by confidentiality clauses
  • Post-Project: Confidentiality extends beyond project completion

Project Timeline & Delivery

We ensure timely delivery through:

Termination Clause

Project termination terms:

  • Client Termination: 14-day written notice
  • Our Termination: 14-day notice with valid reason
  • Payment for Work: Payment for completed work only
  • Handover: Complete deliverable handover
  • Outstanding Obligations: Settlement of all dues

Limitation of Liability

Our liability is limited to:

  • Direct Damages: Liability limited to project value
  • Consequential Damages: Not liable for indirect damages
  • Data Loss: Not responsible for client data backups
  • Third-Party Services: Not liable for external service failures

Dispute Resolution

Dispute resolution process:

  • Informal Discussion: Initial attempt at amicable resolution
  • Mediation: Professional mediation if needed
  • Arbitration: Binding arbitration as final step
  • Governing Law: Laws of Bangalore, India

Force Majeure

We are not liable for delays due to:

  • Natural Disasters: Earthquakes, floods, storms
  • Government Actions: Regulations, restrictions, orders
  • Infrastructure Failures: Internet, power, communication
  • Third-Party Issues: Supplier or service provider failures

Amendments & Modifications

Changes to these terms require:

  • Written Agreement: All modifications in writing
  • Mutual Consent: Both parties must agree
  • Project Scope: Changes may affect timeline and pricing
